Terms of Service.

1. The service

CloudChem is an AI-assisted operations platform for Malaysian small and medium businesses, providing document creation (invoices, receipts, quotations, etc.), customer relationship records, and chat-based command surfaces over WhatsApp, Telegram, and the dashboard.

2. Eligibility

You must be at least 18 years old and legally able to enter into a binding contract. If you are signing up on behalf of a business, you confirm that you have authority to bind that business to these terms.

3. Accounts and security

• You're responsible for keeping your login credentials confidential.
• You must notify us immediately at security@cloudchem.com.my if you suspect unauthorised access.
• You're responsible for all activity that occurs through your account.
• Workspace owners control which members have which roles, and which chat channels are linked to which user.

4. Acceptable use

You agree not to:

• Use CloudChem to send unsolicited bulk messages (spam) through WhatsApp or any other channel.
• Generate fraudulent invoices, fake receipts, or otherwise misrepresent transactions.
• Reverse engineer, decompile, or attempt to extract source code or model weights.
• Use the service in violation of Malaysian law (PDPA, Sales Tax Act, Companies Act, etc.).
• Attempt to gain unauthorised access to other workspaces, infrastructure, or third-party data.
• Resell or sublicense CloudChem to third parties without our written agreement.

We may suspend or terminate accounts engaged in any of the above without prior notice if continued operation would create material risk to other users or to us.

5. Subscription, billing, refunds

• Paid plans renew automatically at the published rate until cancelled.
• Cancellation takes effect at the end of the current billing period.
• Pricing is shown in MYR or USD as displayed at checkout. Taxes (e.g. SST) are added where applicable.
• Refunds: we do not offer pro-rated refunds for partial months. If a charge was clearly erroneous (e.g. duplicate billing), email billing@cloudchem.com.my within 30 days and we'll review it.
• Failed payments suspend new document generation but preserve historical data; we'll send up to 3 reminders before any account is downgraded to read-only.

6. Your data

You retain all rights to the documents, customer records, and other content you create within your workspace. You grant CloudChem a limited licence to host, process, and back up that content solely for the purpose of providing the service.

7. AI features

CloudChem uses third-party large language models (currently OpenAI and Google Gemini) to parse natural-language chat messages and convert them into structured documents. Outputs are best-effort, not legal or accounting advice. You are responsible for reviewing generated documents for accuracy before sending them to customers or filing them with authorities.

8. Service availability

We aim for 99.5% monthly uptime on the production service. We do not yet offer a contractual SLA — if you need one, contact us about an Enterprise agreement. Scheduled maintenance windows will be announced in-app at least 24 hours in advance unless an emergency security patch is required.

9. Termination

You may cancel your subscription at any time from the Billing page. Upon termination, your data is retained per our Privacy Policy. We may terminate or suspend accounts for breach of these terms; in non-emergency cases we'll first send a written notice giving 14 days to cure the breach.

10. Disclaimers

The service is provided "as is" without warranties of fitness for a particular purpose, merchantability, or non-infringement to the maximum extent permitted by Malaysian law. We do not guarantee that AI parsing will be 100% accurate, that documents will satisfy every regulator's exact format expectations, or that the service will be uninterrupted.

11. Limitation of liability

To the maximum extent permitted by law, CloudChem's total liability for any claim arising out of or relating to these terms is limited to the fees paid by you in the 12 months preceding the claim. We are not liable for indirect, incidental, special, or consequential damages, including lost profits or lost data.

12. Governing law

These terms are governed by the laws of Malaysia. Any dispute that cannot be resolved through good-faith discussion shall be submitted to the courts of Kuala Lumpur.

13. Changes

We may update these terms; material changes will be emailed to account holders at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.

15. WhatsApp Business — merchant obligations

When you connect a WhatsApp Business Account (WABA) to CloudChem, you remain the controller of customer data on that line. You are responsible for:

• Obtaining customer opt-in before initiating any template (HSM) message, per Meta's policy.
• Using only approved template categories for the message intent (e.g. UTILITY for order updates, MARKETING for promos).
• Honoring opt-out requests within 24 hours of receipt.
• Not using CloudChem to send unsolicited messages, scams, prohibited goods or services, or any content that violates Meta's WhatsApp Commerce Policy or Business Messaging Policy.
• Keeping your AI sales assistant's persona and policies accurate — we surface your shipping, returns, and payment methods text directly to customers via the bot.

The 24-hour customer-service window:Meta restricts free-form replies to a 24-hour window after each customer's last inbound message. Outside that window our bot will only send pre-approved templates; manual replies from your dashboard are subject to the same restriction.

Suspension:Repeated policy violations or quality-rating drops communicated by Meta may force us to suspend your WhatsApp integration. We will notify you and give 7 days to remediate where Meta's timeline permits.

AI-generated content: The sales bot is generative AI. It is instructed never to invent prices, stock, policies, or financial / medical / legal advice, and to defer to a human when unsure. You remain liable for messages sent on your behalf; review your persona, knowledge-base entries, and templates regularly.
